Job Description
Members of the Transaction Services practice help clients navigate through complicated transactions and events, from evaluation through integration, in a multifaceted business environment. PwC helps clients negotiate with confidence. Some of the world's most prestigious companies rely on our buy-and-sell side due diligence capabilities and turn to us for advice on financial reporting, valuation and tax issues. We also provide advice and project management for capital raising events such as initial public offerings, secondary listings and private placements. For companies in distressed situations, we advise on crisis avoidance, financial and operational restructuring and bankruptcy.

Clients rely on PwC to help them make informed and empowered decisions to invest, divest, raise capital or reorganize. As our clients execute on their chosen strategy, our focus turns to helping them extract value.

The US Transaction Services Risk and Quality group falls within the Transaction Services practice.

This practice liaises directly with client service partners and business teams to provide deals-related contract drafting and negotiation support.

They also work with the Office of General Counsel on legal matters and other lines of service contracting teams.

Position/Program Requirements
Minimum Year(s) of Experience: 4


Minimum Degree Required: Bachelor's degree of Laws


Certification(s) Required: Member of the Bar


Degree Preferred: Juris Doctorate


Knowledge Preferred:

Demonstrates thought leader-level knowledge with, and/or a proven record of success directing efforts in the following areas:

- Working in a multinational law firm or in-house legal department advising on and negotiating complex agreements in a consulting or corporate transaction environment, preferably related to mergers, acquisitions, corporate finance/investment banking, and other consulting and commercial transactions;

- Identifying and analyzing complex business and related contracting issues and providing appropriate advice regarding applicable contractual terms, consistent with industry practice and risk management policies, guidance and procedures on a time-sensitive basis;

- Negotiating, drafting and finalizing a variety of complex deals related to client engagement contracts including engagement letters, master agreements/SOWs, non-disclosure agreements, clean team agreements, access/release letters;

- Utilizing and applying knowledge of industry trends and practices into projects as they relate to private equity, corporate finance, mergers and acquisitions and applicable laws and professional standards;

- Utilizing and applying knowledge into projects of pertinent business and deals related to commercial and legal issues in order to establish consistent approaches to contract documentation and transactions;

- Working independently and as part of a team working with internal and external clients and escalate as necessary; and,

- Building consensus, even for difficult or unpopular courses of action necessitated by commercial, professional and risk/legal requirements.
