Job Description
The Office of the General Counsel (OGC) is the U.S. Firm's legal department, providing dedicated legal support to the Firm. OGC divides its resources into six practice groups:

Litigation, which oversees claims and regulatory matters involving the firm and its personnel.

Counseling, which supports the individual Lines of Service with respect to practice issues, as well as advises on regulatory issues.

Corporate, which advises the firm on matters relating to its operations both within the US and as it relates to the broader PwC Network, including mergers and acquisitions, governance and partnership law matters and treasury affairs.

Commercial, which supports the firm's client contracting function.

Employment, which advises on matters related to employees and partners of the firm.

Tech, IP and Data Protection, which advises the firm on intellectual property, technology transactional matters, data issues and data privacy.

Position/Program Requirements
Minimum Year(s) of Experience: 6


Minimum Degree Required: Juris Doctorate


Knowledge Preferred:

Demonstrates intimate knowledge and/or a proven record of success as a technical professional in a legal specialty.


Skills Preferred:

Demonstrates intimate abilities and/or a proven record of success managing efforts with identifying and addressing client needs including the following areas:

- Managing outside counsel to obtain optimal outcome and contain costs;

- Identifying and analyzing complex legal/regulatory/business issues and providing appropriate legal advice regarding applicable legal and professional standards, often on a time-sensitive basis;

- Demonstrating negotiation skills with respect to legal issues;

- Managing multiple cases/matters/projects and/or teams of internal and/or external resources; and,

- Building consensus, even for difficult or unpopular courses of action necessitated by legal or regulatory requirements.


The Technology Transactions team is part of the U.S. Firm’s Technology, IP and Data Protection group, which handles all matters related to IP protection, licensing, data management and protection, and strategy. The Technology Transactions team is responsible for counseling on transactions for technology procurement (inbound licensing) and market facing technology offerings (outbound licensing), working closely with internal stakeholders on the business teams and throughout the U.S. Firm. Applicants should have familiarity with advising on transactional matters involving software and other technology, including matters regarding the development, licensing, acquisition, and sale of intellectual property and technology and other commercial agreements. This role will require understanding how to: negotiate complex transactions with major technology companies, identify and address issues related to procurement of SaaS/cloud/hosted solutions, and operate within existing strategic alliance frameworks.
